RRD to Acquire Williams Lea, Strengthening Business Support Services and Complementing Marketing Capabilities Globally

RRD, a global provider of marketing, packaging, print and supply chain solutions, today announced that it has entered into a definitive agreement with Advent to acquire Williams Lea, a provider of tech-enabled business support services to financial, legal and professional services firms worldwide. The deal is expected to close in the first quarter of 2025, pending regulatory clearance and customary closing conditions.

Through the acquisition, Williams Lea will join RRD’s Digital, Creative and Business Support Services segment to further strengthen and expand its position as a transformation partner for business support and productivity solutions. This investment also complements the segment’s digital marketing capabilities that include a suite of full-funnel media, measurement and proprietary marketing technology offerings.

Williams Lea is trusted by global clients to transform business processes in complex and highly regulated environments. Williams Lea clients will benefit from RRD’s client-centric approach, global reach and focus on leading technology. Williams Lea will maintain its brand name as part of RRD.

MBE Acquires Printing Franchisor AlphaGraphics to Gain Stronger U.S. Presence

Salt Lake City-based AlphaGraphics has been acquired by MBE Worldwide (Mail Boxes Etc.), a global, third‐party logistics, printing and communications services franchise network based in Milan, Italy. The purchase of AlphaGraphics, from private equity firm Western Capital Resources, comes on the heels of MBE's acquisition this past April of the U.S.-based PostNet franchise system (which I wrote about here at the time). With the AlphaGraphics acquisition, MBE Worldwide now has approximately 2,600 locations in 39 countries and projected system-wide sales of $940 million in 2017. Quad Reports Second Quarter and Year-to-Date 2023 Results

Recent Highlights • Reported Net Sales of $703 million and Net Loss of $6 million in the second quarter of 2023, or $0.12 diluted loss per share. • Increased Net Cash Provided by Operating Activities by $24 million for the six months ended June 30, 2023, compared to the same period in 2022. • Increased Free Cash Flow by $12 million for the six months ended June 30, 2023, compared to the same period in 2022, including $34 million of Free Cash Flow generation in the second quarter of 2023. • Reduced Net Debt by $80 million over last 12 months to end the second quarter with a Debt Leverage Ratio of 2.34x, which is within the company’s long-term targeted leverage range of 2.0x – 2.5x.
