Postmedia Enters Agreement to Acquire Saltwire

Postmedia Network Inc., a wholly owned subsidiary of Postmedia Network Canada Corp. (“Postmedia” or the “Company”) today announced that it has entered into an agreement to acquire certain businesses and assets of Saltwire Network Inc. and The Halifax Herald Limited (together, “Saltwire”), Atlantic Canada’s largest media company, which is currently under Companies’ Creditors Arrangement Act (“CCAA”) protection. This potential acquisition aligns with Postmedia’s commitment to preserving local journalism and supporting the communities it serves.

Local journalism is essential for keeping communities informed and connected. Saltwire, with over a dozen media titles, plays a crucial role in this regard. “If the transaction can be completed, Postmedia intends to provide the necessary back office resources and operational infrastructure to ensure there continues to be reliable and high-quality local news provided to the affected communities,” said Andrew MacLeod, President and Chief Executive Officer of Postmedia.

Pearson Response to Apollo Statement

Pearson notes the March 29, 2022 announcement from Apollo that it is no longer evaluating a possible cash offer for the Company and that it is consequently bound by the restrictions under Rule 2.8 of the City Code of Takeovers and Mergers. The Board of Pearson confirms that, on 28 March 2022, it received a third proposal from Apollo regarding a possible cash offer for the entire issued and to be issued share capital of the Company at 870 pence per share. Under Apollo's proposal, eligible Pearson shareholders would also be entitled to receive the previously announced FY 2021 dividend of 14.2 pence per share which, when taken together with the Proposal Price, represents a total value of 884.2 pence per share. The Third Proposal followed two previous proposals from Apollo which were unanimously rejected by the Board of Pearson, as detailed in Pearson's 11 March 2022 announcement.

AAP February StatShot Report: Overall Publishing Industry Up 1.8% Year-To-Date

Total revenues across all categories for February 2023 were up 0.2% as compared to February 2022, coming in at $1.0 billion. Year-to-date revenues were up 1.8%, at $2.3 billion for the first two months of the year. Trade (Consumer Books) revenues were down 0.4% in February, coming in at $706.3 million. In terms of physical paper format revenues during the month of February, in the Trade (Consumer Books) category, Hardback revenues were down 6.4%, coming in at $235.5 million; Paperbacks were down 0.9%, with $244.7 million in revenue; Mass Market was down 3.2% to $15.5 million; and Special Bindings were down 5.5%, with $16.2 million in revenue. eBook revenues were down 4.8% for the month as compared to February 2022 for a total of $87.5 million, and overall Digital Audio format was up 31.6% for February, coming in at $84.5 million in revenue.
