Today at ISA Sign Expo, HP Inc. announced the HP Latex R Series, the first, true hybrid latex technology that merges HP’s renowned flexible printing capabilities into rigid printing. The HP Latex R Series brings the most vibrant colors1 into the rigid printing world, and pioneers white ink capabilities with the introduction of HP Latex White Ink. The HP Latex R series brings unparalleled speed and quality to a wide range of rigid materials, such as foamboards, foam PVC, cardboard, fluted polypropylene, solid plastics, aluminum, wood and glass among others. Unlike UV printing technology, which creates a thick layer of ink that completely covers the material, HP’s water-based Latex Inks preserve the look and feel of the media, and delivers odorless prints that are both safe for the environment and the printer operator.

Net sales for the first quarter ended March 31, 2018, were $968 million, representing a 3.1% decrease as compared to 2017. Organic sales declined 5.1% due to ongoing print industry volume and pricing pressures after excluding acquisitions (2.0% impact), pass-through paper sales (-0.2% impact) and foreign exchange (0.2% impact), and is consistent with previous guidance. The Company incurred a net loss of $3.5 million, or $0.07 per share, for the three months ended March 31, 2018, which included a special $22 million non-cash employee stock ownership plan contribution as part of the benefit of tax reform. Net cash provided by operating activities was $2 million for the first quarter 2018, compared to $63 million in the first quarter of 2017, and Free Cash Flow decreased $62 million to a negative $22 million. These variances were primarily due to expected timing differences in 2018 versus 2017 for cash generated from working capital, which will be weighted more towards the fourth quarter. R.R. Donnelley & Sons Company announced that it has entered into a definitive merger agreement to be acquired by affiliates of Chatham Asset Management, LLC, a leading private investment firm, in an all-cash transaction with a total enterprise value of approximately $2.3 billion and total equity value of approximately $897 million. RRD also announced that it has terminated its previously announced merger agreement with affiliates of Atlas Holdings LLC, dated November 3, 2021, pursuant to which affiliates of Atlas had agreed to acquire RRD for $10.35 per share in cash. The termination of the Amended Atlas Merger Agreement follows the decision by Atlas to waive its contractual opportunity through December 16, 2021 to negotiate an amendment of the Amended Atlas Merger Agreement such that the transaction contemplated by the Chatham Merger Agreement would no longer constitute a “Superior Proposal” as defined in the Amended Atlas Merger Agreement.
